Overview
These Terms of Service are a contract between you and Antedotal for your use of uDown. In these terms, "uDown," "we," "us," and "our" refer to Antedotal and the uDown service.
These terms for the current uDown product: a social planning tool for friends and invitees.
Accepting these terms
By creating an account, signing in, opening an invite link, creating or joining an event, connecting a calendar, entering availability, RSVPing, commenting, or otherwise using uDown, you agree to these terms.
If you do not agree to these terms, do not use uDown. If you use uDown on behalf of someone else, you are responsible for making sure you have permission to do so.
What uDown does
uDown helps people plan social events. You can sign in, create events, invite friends or groups, compare availability, RSVP, comment, edit notes, and choose a time that works for the group.
Not a booking, payment, transport, or emergency service
uDown does not book venues, sell tickets, collect payments, arrange transport, or guarantee that an event will happen.
uDown does not guarantee that suggested times are perfect, that everyone can attend, or that calendar information is complete or current.
uDown is not an emergency, safety, medical, legal, financial, or professional advice service.
Accounts and eligibility
You are responsible for your account and for activity that happens through it. Keep your sign-in method secure, use accurate account information, and tell us if you believe someone has accessed your account without permission.
uDown is not intended for children under 13. If you are under the age required to form a binding contract where you live, you may use uDown only with permission from a parent or guardian.
Calendar and availability
Calendar connection is optional. If you choose to connect Google Calendar or another calendar service, you authorise uDown to use the permissions you grant so we can help show availability for events or groups you take part in.
uDown is designed to share time-based planning availability, not the private details of your calendar. Friends and invitees may see whether times work for planning, but they do not see private calendar titles, descriptions, locations, attendees, meeting links, or notes from your connected calendar.
Calendar information may be incomplete, delayed, changed by you, or affected by settings in uDown or the connected calendar service. You can use manual availability where the product allows it, and you can revoke calendar access through uDown or the connected provider.
Events, invites, RSVP, notes, and comments
You are responsible for the events you create, the people you invite, the invite links you share, and the content you add to uDown. Only invite people you are allowed to contact, and avoid sharing sensitive information in event names, notes, comments, venues, costs, or invite links.
Event information, RSVP status, comments, notes, suggested times, and availability may be visible to organisers, invitees, friends, or group members as needed to run the planning flow. Do not rely on uDown as the only place to communicate important safety, health, travel, or time-critical information.
Acceptable use
You agree to use uDown lawfully, respectfully, and only for its intended purpose.
- Do not use uDown to harass, threaten, spam, impersonate, or mislead anyone.
- Do not invite people to unlawful, unsafe, exploitative, or non-consensual activity.
- Do not scrape, copy, reverse engineer, overload, probe, or interfere with uDown or its systems.
- Do not try to access accounts, events, calendars, groups, invite links, or data you are not allowed to access.
- Do not misuse another person's availability, RSVP, comments, calendar-derived information, or contact details.
- Do not upload malware, NSFW content, harmful code, illegal content, or content that infringes another person's rights.
- Do not use uDown for any purpose that is illegal or prohibited by these terms.
Your content
You keep ownership of content you add to uDown, such as event details, comments, notes, RSVPs, availability choices, friend groups, and feedback.
You give us a limited licence to host, store, process, display, share, copy, modify, and transmit your content only as needed to provide, secure, maintain, troubleshoot, and improve uDown; comply with law; respond to support requests; and enforce these terms. This licence ends when your content is deleted from uDown (e.g. event content deletes after 7 days / You request deletion), except where we need to keep limited information for legal, safety, security, backup, or compliance reasons.
If you send feedback or suggestions, we may use them without owing you payment, but we will not use your name publicly without permission.
Third-party services
uDown may rely on third-party services for sign-in, calendars, hosting, storage, security, analytics, email, and similar functions. Google Calendar and Google sign-in are examples of third-party services you may choose to use with uDown.
Third-party services have their own terms and privacy practices. We are not responsible for services we do not control, but we aim to request only the access we need to provide uDown.
Privacy and deletion
Our Privacy Policy explains what personal information we collect, how we use it, how we share it, and the choices you have.
The current privacy policy says event information and event availability are deleted permanently 7 days after the event ends, unless we need to keep information for legal, safety, or compliance reasons. If product behaviour and policy wording ever differ, we should fix that inconsistency as soon as possible.
Changes, suspension, and availability
We may change uDown over time, including adding, changing, limiting, or removing features. We may suspend or end access if we reasonably believe you have misused uDown, created risk for other people, broken these terms, or exposed the service to legal, security, or operational risk.
We may update these terms from time to time. If we make material changes, we will take reasonable steps to let you know, such as updating this page, changing the last updated date, or providing a notice in the service.
Disclaimers and liability
uDown is provided on an "as is" and "as available" basis. We work to keep the service useful and secure, but we do not promise that it will be uninterrupted, error-free, perfectly accurate, or available at all times.
To the extent permitted by law, Antedotal is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from your use of uDown. Nothing in these terms limits rights or remedies that cannot be excluded under applicable consumer, privacy, or other laws.
Disputes
If something goes wrong, please contact us first so we can try to resolve it informally. These terms are intended to operate under the laws that apply to Antedotal and your use of uDown, including applicable Australian consumer and privacy laws where they apply.
We have not included a forced arbitration clause or class-action waiver. Nothing in these terms prevents either side from seeking urgent court relief where legally available.
